VMS’S AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED USD 100.

You agree to defend, indemnify, and hold harmless VMS, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or in any way connected with your breach of these Terms or your use of the Site.

These Terms and any disputes arising out of or related to them or your use of the Site shall be governed by the laws of the State of California, the United States, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of the state and federal courts located in San Diego County, California.

You and VMS agree to resolve any dispute through confidential binding arbitration under the American Arbitration Association’s rules. Judgment on the award may be entered in any court having jurisdiction.

The Site may contain links to third-party websites. VMS does not control and is not responsible for their content or practices. Your use of third-party sites is at your own risk.

We may suspend or terminate your access to the Site at any time, without notice or liability, for any reason, including breach of these Terms.

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and VMS regarding the Site and supersede all prior or contemporaneous communications.

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remainder of these Terms will remain in full force.
